END USER LICENSE AGREEMENT (EULA)

1. AGREEMENT TO TERMS
This End User License Agreement ("Agreement" or "EULA") is a legally binding contract between you ("User," "you," or "your") and Jyv Tech LLC, a global company, operating through its Nigerian subsidiary Tanta Innovative Limited ("Company," "we," "us," or "our").
By downloading, installing, accessing, or using the Chipon Alert mobile application ("Application" or "App") on iOS or Android platforms, you acknowledge that you have read, understood, and agree to be bound by all terms and conditions of this Agreement. If you do not agree to any part of this Agreement, you must not use the Application.
This Agreement applies to all versions of the Chipon Alert Application distributed through the Apple App Store, Google Play Store, or any other official distribution channel.
2. LICENSE GRANT
2.1 Limited Personal Use License
Subject to your compliance with this Agreement, the Company grants you a limited, non-exclusive, non-transferable, and revocable license to download, install, and use the Chipon Alert Application on personal mobile devices (iOS or Android) that you own or control, solely for personal, non-commercial purposes.
2.2 Scope of License
This license permits you to:
- Download and install the Application on compatible devices
- Use the Application to access safety maps, community alerts, route safety scoring, neighborhood intelligence, and push notifications
- Report safety incidents within the Application
- Access features including but not limited to: incident reporting, safety score viewing, route comparison, and neighborhood intelligence
2.3 No Ownership Transfer
You acknowledge that this is a license, not a sale. The Company retains all ownership rights, title, and interest in the Application and all related intellectual property. You acquire no ownership rights in the Application or any portion thereof.
3. RESTRICTIONS ON USE
3.1 Prohibited Activities
You agree NOT to:
- Reverse engineer, decompile, disassemble, modify, or create derivative works of the Application
- Rent, lease, loan, sell, or transfer the Application to any third party
- Remove, alter, or obscure any proprietary notices, labels, or warnings in the Application
- Use the Application for any unlawful purpose or in violation of applicable laws and regulations
- Attempt to gain unauthorized access to the Application, Company systems, or user data
- Use the Application to harass, threaten, defame, or abuse any person or entity
- Submit false, misleading, or fraudulent incident reports or community content
- Spam, flood, or engage in abusive behavior within the Application
- Scrape, crawl, or automatically extract data from the Application without written permission
- Use the Application with automated tools, bots, or scripts (except as explicitly permitted)
- Circumvent, disable, or interfere with security features or access controls
- Use the Application to stalk, track, or surveil any individual or private location
- Violate the intellectual property rights of the Company or third parties
- Distribute malware, viruses, or malicious code through the Application
3.2 Geographic Restrictions
The Application is currently designed for use in Nigeria (Lagos, Abuja, Port Harcourt, and other covered regions). The Company does not warrant that the Application is suitable or available for use outside Nigeria. Export, re-export, or use of the Application in restricted territories or countries may be prohibited by law.
3.3 Device Requirements
You are responsible for obtaining and maintaining compatible hardware and network connectivity. The Company does not guarantee compatibility with all devices or operating systems. Updates or system requirements may render your device incompatible at any time.
4. INTELLECTUAL PROPERTY RIGHTS
4.1 Ownership
The Application, including all code, design, text, graphics, images, maps, incident data aggregations, heatmaps, scores, algorithms, and all other content, are the sole and exclusive property of Jyv Tech LLC or its licensors. All rights are reserved worldwide.
4.2 Trademarks and Branding
"Chipon Alert," the Chipon logo, and all associated trademarks are owned by Jyv Tech LLC. You may not use these marks without prior written consent from the Company. Use of the Company's trademarks must comply with Company guidelines.
4.3 Third-Party Licenses
The Application incorporates third-party components and libraries, including:
- Google Maps — geospatial data and mapping services
- Firebase Cloud Messaging — push notification infrastructure
- React Native and Expo SDK — mobile development framework
- Additional open-source libraries as detailed in the Application's attribution notices
Use of these third-party services is governed by their respective terms and licenses. You agree to comply with all third-party license terms applicable to your use of the Application.
4.4 Limited Attribution
The Company grants you a limited, non-exclusive right to display the Chipon Alert mark solely as necessary to indicate that you are using the Application, provided such display does not mislead users or infringe Company rights.
5. USER-GENERATED CONTENT
5.1 License to Company
When you submit incident reports, community alerts, comments, photos, location data, or any other content to the Application ("User-Generated Content" or "UGC"), you grant the Company an irrevocable, worldwide, royalty-free, perpetual license to:
- Store, process, and display your UGC within the Application
- Aggregate, analyze, and derive safety insights from your UGC
- Share anonymized or aggregated versions of your UGC with other users
- Use UGC to improve safety scores, heatmaps, and incident detection
- Archive UGC for record-keeping and audit purposes
5.2 Retained User Rights
You retain ownership of your UGC. However, by submitting UGC, you confirm that:
- You have the legal right to grant the Company the license described above
- Your UGC does not violate any third-party intellectual property or privacy rights
- You assume all liability for UGC you submit
5.3 Content Standards and Moderation
You acknowledge that:
- The Company may moderate, review, edit, or remove UGC that violates this Agreement or applicable law
- The Company is not responsible for reviewing all UGC and does not guarantee accuracy or legality of UGC
- Repeated submission of false, abusive, or illegal content may result in Account termination
- The Company may cooperate with law enforcement regarding UGC submitted in violation of law
5.4 Public Nature of UGC
By submitting UGC, you understand that other users, the general public, and potentially law enforcement may access, view, and use such content. Do not submit sensitive personal information, medical data, or private security details through the Application.
6. THIRD-PARTY SERVICES AND INTEGRATIONS
6.1 Google Maps
The Application integrates Google Maps for geospatial functionality. Your use of Google Maps is governed by:
- Google Maps Terms of Service
- Google Privacy Policy
- Google Maps API terms
The Company is not responsible for Google Maps availability, accuracy, or changes to Google's services. Google may impose geographic restrictions, rate limits, or fees on API usage.
6.2 Firebase Cloud Messaging
The Application uses Firebase Cloud Messaging to deliver push notifications. Your use of this service is governed by Google's Firebase terms. The Company does not control Firebase availability or message delivery timing.
6.3 Apple App Store and Google Play Store
Distribution of the Application through the Apple App Store and Google Play Store is governed by:
- Apple: App Store Terms and Conditions, Apple Privacy Policy
- Google: Google Play Terms of Service, Google Privacy Policy
The Company complies with App Store Review Guidelines and Google Play policies. App removal, suspension, or policy changes by these platforms may affect your access to the Application.
6.4 Third-Party Data Sources
The Application may incorporate or reference data from external sources, including but not limited to:
- National Bureau of Statistics (NBS) Nigeria
- ACLED (Armed Conflict Location & Event Data)
- HDX (Humanitarian Data Exchange)
- Weather APIs and services
The Company does not endorse, verify, or guarantee the accuracy of third-party data. Use of third-party data is subject to their respective terms and licenses.
6.5 No Endorsement
The Company is not affiliated with, endorsed by, or responsible for third-party services. Third-party services may be modified or discontinued without notice. The Company is not liable for third-party service interruptions or changes.
7. DISCLAIMER OF WARRANTIES
7.1 "AS IS" Basis
THE APPLICATION IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- Implied warranties of MERCHANTABILITY, fitness for a particular purpose, or non-infringement
- Warranties regarding accuracy, completeness, reliability, or timeliness of safety scores, heatmaps, or incident data
- Warranties that the Application will be uninterrupted, error-free, or free from malware
- Warranties regarding the quality, safety, or legality of user-generated content
- Warranties that the Application meets your expectations or requirements
7.2 Safety Information Disclaimer
The Application provides informational content only and is NOT a substitute for:
- Professional security services or consultation
- Law enforcement or emergency response services
- Verified crime statistics or official security assessments
- Medical, legal, or financial advice
7.3 Safety Scores and Incident Data
Safety scores, heatmaps, and neighborhood intelligence:
- Are calculated from aggregated data, user reports, and third-party sources
- Are NOT verified, audited, or guaranteed to be accurate
- May contain errors, omissions, or outdated information
- Should NOT be the sole basis for personal safety decisions
- Change over time and may not reflect current conditions
7.4 No Professional Advice
The Company does not provide professional security, legal, medical, or emergency guidance. If you require emergency assistance in Nigeria, contact:
- Police Emergency: 112 or 199
- Ambulance/Fire: 112 or 199
- Local emergency services appropriate to your situation
8. LIMITATION OF LIABILITY
8.1 Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY'S TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THIS AGREEMENT OR YOUR USE OF THE APPLICATION SHALL NOT EXCEED THE AMOUNT YOU PAID TO THE COMPANY FOR THE APPLICATION (IF ANY). SINCE THE APPLICATION IS FREE IN V1, THE COMPANY'S LIABILITY IS CAPPED AT ZERO NAIRA (₦0.00).
8.2 Excluded Damages
IN NO EVENT SHALL THE COMPANY BE LIABLE FOR:
- Indirect, incidental, consequential, special, or punitive damages
- Loss of profits, revenue, business opportunities, or data
- Damage to reputation or emotional distress
- Bodily injury or property damage caused by or related to the Application
- Any harm resulting from inaccurate safety information or failed community reports
- Personal injury or death resulting from reliance on the Application
8.3 Basis of Limitation
This limitation applies even if:
- The Company has been advised of the possibility of such damages
- A limited remedy provided herein has failed its essential purpose
- Liability arises from negligence, breach of warranty, or breach of contract
8.4 Applicable Law Variations
Some jurisdictions do not permit the exclusion or limitation of certain damages. To the extent such exclusions are unenforceable under applicable law, the Company's liability shall be limited to the maximum extent permitted.
9. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Jyv Tech LLC, Tanta Innovative Limited, and their respective officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use or misuse of the Application
- Your violation of this Agreement or applicable law
- Your infringement of any third-party intellectual property rights
- User-Generated Content you submit
- Your conduct or interactions with other users
- Any harm caused by reliance on information provided by the Application
10. TERMINATION
10.1 Termination by You
You may terminate this Agreement at any time by:
- Uninstalling the Application from all your devices
- Deleting your account (if applicable)
- Ceasing all use of the Application
Termination does not affect your past license usage rights or the Company's rights regarding previously submitted UGC.
10.2 Termination by Company
The Company may terminate this Agreement and your license to use the Application at any time, with or without cause, including but not limited to:
- Violation of this Agreement or applicable law
- Abuse of the Application or other users
- Submission of false or illegal incident reports
- Repeated spam or harassment
- Termination or suspension of the Application
The Company may terminate your license without notice, though we will attempt to provide notice when practicable.
10.3 Effects of Termination
Upon termination:
- Your license to use the Application terminates immediately
- You must uninstall the Application and cease all use
- Provisions regarding intellectual property, disclaimers, limitations of liability, and indemnification survive
- The Company may delete your account and associated data in accordance with its Privacy Policy
11. UPDATES AND MODIFICATIONS
11.1 App Updates
The Company may release updates, patches, bug fixes, or new versions of the Application at any time. Updates may:
- Be mandatory to continue using the Application
- Require re-acceptance of terms
- Add, modify, or remove features
- Change pricing or monetization (in future versions)
- Alter data collection or privacy practices
11.2 Service Modifications
The Company reserves the right to modify, suspend, or discontinue the Application or any portion thereof, with or without notice. The Company is not liable to you for any such modifications or discontinuations.
11.3 Terms Modifications
The Company may modify this Agreement at any time by posting the updated Agreement to the Application or its website. Continued use of the Application following publication of modifications constitutes acceptance of the modified terms. You are responsible for reviewing updated terms periodically.
11.4 Incompatibility
Updates to iOS, Android, or mobile platforms may render the Application incompatible with your device. The Company is not responsible for compatibility issues arising from third-party platform changes.
12. EXPORT COMPLIANCE
12.1 Restricted Use
The Application contains technology subject to export control laws, including the U.S. Export Administration Regulations (EAR) and other applicable regimes. The Application may not be exported to, or used by nationals of, countries or entities subject to U.S. economic sanctions or export restrictions.
12.2 User Compliance
You agree not to export or re-export the Application, or permit its use by any person or entity in any restricted country or to any sanctioned party. You are responsible for compliance with all export laws applicable in your jurisdiction.
12.3 Sanctioned Parties
You certify that you are not:
- Located in, ordinarily residing in, or organized under the laws of any embargoed country
- Listed on any U.S. or international sanctions lists
- Acting on behalf of any sanctioned person or entity
13. APP STORE COMPLIANCE
13.1 Apple App Store Terms
By using the Application on iOS, you acknowledge and agree to:
- Apple's App Store Terms and Conditions
- Apple's Privacy Policy and data handling practices
- Apple's Subscription Terms (if applicable in future versions)
- App Store Review Guidelines
The Company complies with Apple's requirements for app functionality, content, and privacy. Removal or suspension from the App Store may affect your access to the Application.
13.2 Google Play Store Terms
By using the Application on Android, you acknowledge and agree to:
- Google Play Terms of Service
- Google Privacy Policy
- Google Play Developer Program Policies
The Company complies with Google's policies regarding app content, permissions, and user data. Removal or suspension from Google Play may affect your access to the Application.
13.3 Platform Restrictions
You acknowledge that:
- Apple and Google retain rights to refuse, remove, or suspend the Application
- Platform policy changes may require modification or discontinuation of features
- The Company cannot guarantee continued availability on any platform
- Platform-specific restrictions apply to Application functionality and data collection
14. PRIVACY AND DATA HANDLING
14.1 Data Collection
The Application collects, processes, and stores:
- Location data (GPS coordinates, neighborhood identifiers)
- Device information (device ID, model, OS version)
- Usage data (features accessed, timestamps, analytics)
- Personal data (if you create an account; name, phone number)
- Incident reports and community content you submit
- Push notification preferences
14.2 Data Protection
The Company implements technical and organizational measures to protect your data. However:
- No security measure is 100% effective
- Data breaches, unauthorized access, or loss may occur
- The Company is not liable for unauthorized disclosure of data
14.3 Privacy Policy
Data handling is governed by the Company's Privacy Policy, which is incorporated by reference and available in the Application. In case of conflict between this EULA and the Privacy Policy, the Privacy Policy controls regarding data handling.
14.4 Third-Party Data Sharing
The Company may share aggregated, anonymized data with third parties for research, analytics, or public health purposes. Individual user identification is not shared without consent (except as required by law).
15. GOVERNING LAW AND JURISDICTION
15.1 Governing Law
This Agreement is governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflicts of law principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is excluded.
15.2 Jurisdiction and Venue
You consent to the exclusive jurisdiction of the courts of Nigeria for any legal proceedings arising from or related to this Agreement or the Application. You agree to submit to personal jurisdiction in Nigerian courts and waive any objection to venue or inconvenient forum.
15.3 Dispute Resolution
Before initiating legal proceedings, you agree to attempt informal resolution:
- Send written notice of the dispute to the Company (see Section 16 for contact details)
- Allow 30 days for the Company to respond
- Negotiate in good faith to resolve the dispute
If informal resolution fails, you may pursue legal action in Nigerian courts.
15.4 Arbitration (Alternative)
Alternatively, either party may initiate binding arbitration under Nigerian arbitration rules. Arbitration is conducted in English language in Lagos, Nigeria, by a single arbitrator agreed upon by both parties. Costs are shared equally unless the arbitrator awards costs to one party.

16.2 Notice Procedure
For legal notices, contact information updates, or dispute notice, send written communication to the above address via:

Notice is deemed received upon delivery, email receipt confirmation, or 5 business days after mailing.
16.3 Feedback and Complaints
User feedback, feature requests, and complaints can be submitted through:
- In-app feedback mechanism

- Social media channels
The Company will acknowledge complaints within 7 business days.
17. MISCELLANEOUS PROVISIONS
17.1 Entire Agreement
This Agreement, together with the Privacy Policy and any in-app notices, constitutes the entire agreement between you and the Company regarding the Application and supersedes all prior or contemporaneous agreements, whether written or oral.
17.2 Severability
If any provision of this Agreement is found to be invalid, illegal, or unenforceable, that provision shall be severed, and the remaining provisions shall remain in full force and effect.
17.3 Waiver
No waiver of any provision of this Agreement is effective unless in writing and signed by the Company. Failure to enforce any right does not constitute waiver of that right.
17.4 Assignment
You may not assign, transfer, or sublicense this Agreement or your rights under it. Any attempted assignment is void. The Company may assign this Agreement to a successor or purchaser without notice.
17.5 Relationship of Parties
Nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship. Neither party is authorized to act on behalf of the other.
17.6 Notices and Communications
You consent to receive notices and communications from the Company via:
- In-app messages
- Push notifications
- SMS (if a phone number is provided)
You are responsible for keeping your contact information current.
17.7 Counterparts and Electronic Execution
This Agreement may be executed in counterparts and by electronic means (including PDF or email). Electronic signatures are binding and have the same force as original signatures.
17.8 Survival
Provisions regarding intellectual property, disclaimers, limitation of liability, indemnification, governing law, and any other provisions that by their nature should survive termination, shall survive termination of this Agreement.
18. ACKNOWLEDGMENTS
By downloading, installing, or using the Chipon Alert Application, you acknowledge that:
- You have read and understood this entire Agreement
- You are at least 13 years of age (or have parental consent if younger)
- You are legally capable of entering into a binding agreement
- You agree to be bound by all terms and conditions
- The Application is provided for informational purposes only
- Safety information is not a substitute for professional services or emergency response
- You assume all risks associated with using the Application
- You waive any claims based on non-disclosure or misrepresentation
19. EFFECTIVE DATE AND AMENDMENTS
Effective Date: March 29, 2026

This Agreement is effective as of the date listed above and applies to all future versions of the Application unless explicitly superseded by a new version posted by the Company.
