1. Acceptance of Terms
By downloading, installing, or using the Chipon Alert mobile application ("App"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Agreement"). This Agreement constitutes a binding legal contract between you and Tanta Innovative Limited (a subsidiary of Jyv Tech LLC, both collectively "Company," "we," "us," or "our").
If you do not agree to all terms and conditions in this Agreement, you may not use the App. Your continued use of the App constitutes your acceptance of this Agreement, including any modifications made from time to time.
2. Eligibility
You must be at least 13 years old to use Chipon Alert. By using this App, you represent and warrant that:
- You are at least 13 years of age
- You have the authority and capacity to enter into this Agreement
- Your use of the App complies with all applicable laws and regulations in your jurisdiction
- You are not located in any country subject to a U.S. government embargo or designated as a "terrorist supporting" country
- You are not listed on any U.S. government list of prohibited or restricted parties
If you are under 18 years old, your parent or legal guardian must review and accept these Terms on your behalf.
3. Account Registration and Authentication
3.1 Registration Requirements
To use Chipon Alert, you must register an account by providing:
- A valid mobile phone number
- Your preferred display name
- Location (city/region)
3.2 Phone-Based Authentication
We use phone number verification via One-Time Password (OTP) for authentication. You are responsible for:
- Maintaining the confidentiality of your phone number and OTP codes
- All activities and transactions conducted through your account
- Notifying us immediately if you suspect unauthorized access to your account
We do NOT store passwords. Authentication is limited to phone-based OTP verification.
3.3 Account Accuracy
You agree to maintain accurate, current, and complete account information. We reserve the right to suspend or terminate your account if any information is false, inaccurate, or incomplete.
4. User Conduct and Responsibilities
You agree to use Chipon Alert only for lawful purposes and in a manner that does not infringe upon the rights of others or restrict their use and enjoyment of the App. Prohibited conduct includes:
- Harassment, bullying, defamation, or threatening language directed at other users
- Deliberately providing false or misleading safety information
- Impersonating law enforcement, emergency services, or government officials
- Creating multiple accounts to circumvent enforcement actions
- Attempting to reverse-engineer, decompile, or otherwise derive the source code or algorithms
- Using automated tools, bots, or scripts to access the App without explicit authorization
- Interfering with or disrupting the integrity or performance of the App or its servers
5. User-Generated Content: Incident Reports
5.1 Content Ownership
You retain all intellectual property rights to any incident reports, photos, descriptions, and other content ("Content") you submit to Chipon Alert. By submitting Content, you grant the Company a worldwide, perpetual, royalty-free, non-exclusive license to:
- Store, process, and analyze your Content
- Display your Content (with or without your name, depending on your privacy settings)
- Use your Content for safety heatmap generation, research, and service improvement
- Share your Content with emergency responders, law enforcement, or other authorized parties when legally required
5.2 Content Standards
You agree that all Content you submit:
- Must be truthful and accurate to the best of your knowledge
- Must not defame, libel, slander, or invade the privacy of any individual
- Must not violate any third-party intellectual property, privacy, or other rights
- Must not contain hate speech, discriminatory language, or incitement to violence
- Must include accurate location data (GPS coordinates or addresses)
- Must be relevant to community safety
5.3 Community Verification
Other users may verify ("confirm accuracy") or dispute ("challenge accuracy") your reports. Verification is a community crowdsourcing mechanism, not an endorsement by the Company. We do not independently verify the accuracy of user reports.
5.4 Removal of Content
We reserve the right to remove, edit, or refuse to display any Content that violates this Agreement or applicable law, without notice or liability. Repeated violations may result in account termination.
6. Community Reporting Guidelines
6.1 Acceptable Incident Reports
You may report the following types of incidents:
- Armed robbery, theft, or burglary
- Suspicious activity or loitering
- Vehicle accidents or hazards
- Armed conflict or civil unrest
- Fire or chemical hazards
- Kidnapping or abduction reports
- Checkpoints or roadblocks
- Flooding or natural disasters
- Road closures or major obstructions
- Power outages or infrastructure failures
- Other significant safety concerns
6.2 Prohibited Reporting
Do NOT use Chipon Alert to report:
- Minor complaints or inconveniences
- Personal disputes or conflicts
- Commercial grievances or business disputes
- Spam, advertising, or promotional content
- Unverified rumors or hearsay
- Hate speech or discriminatory claims
7. Prohibited Activities
You may not:
- Use the App to facilitate, enable, or encourage illegal activities
- Sell, trade, or transfer your account to another person
- Access the App through unauthorized third-party applications
- Modify, translate, or create derivative works of the App
- Remove or alter any proprietary notices, labels, or marks
- Use the App for commercial purposes without explicit written consent
- Collect, harvest, or scrape user data, including names, phone numbers, or locations
- Bypass, disable, or circumvent any security features or rate-limiting mechanisms
- Conduct any activity that impairs the functioning or security of the App
8. Disclaimer of Warranties
8.1 Chipon Alert is Informational Only
CRITICAL: Chipon Alert provides information and analysis only. It does NOT:
- Guarantee your safety or the safety of your surroundings
- Constitute emergency response, law enforcement, or crisis management
- Replace professional security advice or emergency services
- Predict or prevent crimes, accidents, or natural disasters
Safety scores are algorithmically generated from community-submitted data and may be inaccurate, outdated, or incomplete. The Company does not independently verify the accuracy of user reports.
8.2 Emergency Services
In case of emergency, call the Nigerian Emergency Services immediately:
- Police (Crime, Armed Robbery): 112 or 199
- Medical Emergency (Ambulance): 112 or 112 (Lagos Emergency Management Agency)
- Fire Emergency: 112 or 01-669-2222
- Road Traffic Accident: 112 or emergency services
Chipon Alert is NOT a substitute for emergency services.
8.3 "As-Is" Service
The App is provided on an "AS-IS" and "AS-AVAILABLE" basis. The Company makes no warranties, express or implied, regarding:
- The accuracy, reliability, or completeness of safety data
- The uninterrupted or error-free operation of the App
- The fitness of the App for any particular purpose
- The absence of viruses, malware, or other harmful components
- The quality of products or services obtained through the App
We expressly disclaim all warranties of merchantability, fitness for a particular purpose, and non-infringement.
8.4 Third-Party Data
Chipon Alert may incorporate data from external sources (NBS Nigeria, ACLED, HDX, weather APIs). We are not responsible for the accuracy, completeness, or timeliness of third-party data.
9. Limitation of Liability
9.1 Cap on Liability
TO THE FULLEST EXTENT PERMITTED BY NIGERIAN LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR:
- Direct, indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or anticipated savings
- Loss of goodwill, business interruption, or loss of use
- Damages arising from your reliance on the App's safety information
- Crimes, accidents, injuries, or deaths occurring in areas you accessed via Chipon Alert
- Inaccurate or outdated safety scores or incident reports
- Unauthorized access to or alteration of your account
This applies even if the Company has been advised of the possibility of such damages.
9.2 Your Sole Remedy
Your sole remedy for any issues with the App is to cease using it and request account deletion.
9.3 Some Jurisdictions
Some jurisdictions do not allow limitation of liability. If applicable law in your jurisdiction prohibits this limitation, our liability shall be limited to the greatest extent permitted by law.
10. Indemnification
You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, agents, and successors from and against any claims, damages, losses, liabilities, or expenses (including reasonable attorneys' fees) arising from or related to:
- Your use of the App
- Your violation of this Agreement or applicable law
- Your Content submitted to the App
- Your infringement of any third-party rights
- Any claim that your Content is defamatory, libelous, or violates privacy rights
11. Termination
11.1 Termination by You
You may terminate your account at any time by:
- Opening the App
- Navigating to Profile → Settings → Account → Delete Account
- Confirming deletion
Your data will be deleted within 30 days, subject to legal and operational retention requirements.
11.2 Termination by the Company
We may terminate your account immediately, without notice, if you:
- Violate any material term of this Agreement
- Submit false, defamatory, or illegal Content
- Engage in harassment, abuse, or threatening behavior
- Attempt to circumvent security features or exploit vulnerabilities
- Violate applicable law
11.3 Effect of Termination
Upon termination:
- Your right to use the App ceases immediately
- Your Content remains in the system for safety archival purposes
- We retain the right to use anonymized data for safety analysis
- Sections 5, 8, 9, 10, and 12 survive termination
12. Governing Law and Dispute Resolution
12.1 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflicts of law principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
12.2 Jurisdiction and Venue
You irrevocably submit to the exclusive jurisdiction of the courts located in Lagos, Nigeria for the resolution of any dispute arising from or relating to this Agreement or your use of the App. You waive any objection to venue or inconvenient forum.
12.3 Dispute Resolution Process
Before pursuing legal action, you agree to attempt resolution as follows:
- Informal Notice (15 days): Send written notice to team@chipon.io describing the dispute, your account information, and desired resolution.
- Good Faith Negotiation (30 days): Both parties agree to negotiate in good faith to resolve the dispute.
- Mediation (60 days, optional): If negotiation fails, either party may propose non-binding mediation in Lagos.
- Litigation: If mediation does not resolve the dispute, either party may pursue legal action in Nigerian courts.
12.4 Limitation Period
You must initiate any legal action within 12 months of the date the dispute arose. Any claim not brought within this period is waived.
13. Modifications to Terms
The Company reserves the right to modify this Agreement at any time. Changes will be effective upon posting the updated Agreement in the App or on our website. Your continued use of the App after modifications constitutes acceptance of the new terms.
We will provide notice of material changes via:
- In-app notification
- Email to the address associated with your account
- Prominent announcement in the App
If you do not agree to modified terms, you must stop using the App and delete your account.
14. Severability
If any provision of this Agreement is deemed invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid, or if not possible, severed. The remaining provisions shall continue in full force and effect.
15. Entire Agreement
This Agreement, together with our Privacy Policy and Community Guidelines, constitutes the entire agreement between you and the Company regarding your use of the App and supersedes all prior negotiations, understandings, and agreements, whether written or oral.

17. Safety Notice — Please Read
Chipon Alert is a SAFETY INTELLIGENCE tool, not a security guarantee.
The App provides:
- Community-sourced incident information
- Algorithmically-generated safety scores
- Trends and neighborhood analysis
- Route safety comparisons
The App does NOT provide:
- Real-time emergency response
- Police or military protection
- Guaranteed accurate information
- Personal security services
Your personal safety is your responsibility. Always:
- Use common sense and situational awareness
- Trust your instincts
- Avoid dangerous areas regardless of app data
- Contact emergency services (112 or 199) if in danger
- Consult local authorities for accurate, official safety information
By using Chipon Alert, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
